1. Agreement to Terms

By engaging Momentum Motors Marketing ("Company," "we," "us," or "our") for digital marketing services, you ("Client," "Dealer," or "you") agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and Momentum Motors Marketing.

By purchasing any of our Momentum packages or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not purchase our services.

2. Services Description

Momentum Motors Marketing provides digital marketing services specifically designed for powersports, RV, and marine dealerships. Our services include, but are not limited to:

  • AI Engine Optimization (AEO) — optimizing your digital presence for AI-powered search platforms including ChatGPT, Perplexity, Google Gemini, and others
  • Search Engine Optimization (SEO) — traditional and advanced SEO strategies including technical SEO, content optimization, and link building
  • Local SEO — Google Business Profile optimization, NAP consistency, and local directory management
  • Content Creation — blog articles, digital press releases, FAQ pages, and other content assets
  • Schema Markup Implementation — structured data implementation for enhanced search visibility
  • Analytics & Reporting — monthly performance reports, AI citation tracking, and strategic recommendations
  • Enterprise Managed WordPress Hosting (where applicable per package tier)

The specific services provided to you will depend on the Momentum package you select (Foundation, Growth, or Enterprise). Detailed service descriptions for each package are available on our Packages page.

3. Pricing & Payment Terms

3.1 Package Pricing. Current pricing for our Momentum packages is as follows:

3.2 Billing Cycle. Services are billed on a recurring monthly or annual basis depending on the billing cycle selected at checkout. Payment is due at the beginning of each billing period.

3.3 Payment Method. All payments are processed securely through Stripe. We accept Visa, Mastercard, American Express, and Discover. By providing payment information, you authorize us to charge the applicable fees to your payment method.

3.4 Late Payments. If payment fails or is not received within 7 days of the due date, we reserve the right to suspend services until payment is received. Accounts more than 30 days past due may be subject to service termination.

3.5 Price Changes. We reserve the right to modify pricing with 60 days written notice. Any price changes will not affect your current billing cycle.

4. Service Term & Cancellation

4.1 Recommended Term. We recommend a minimum 12-month engagement for optimal results. SEO and AEO strategies require time to build authority and achieve meaningful results. However, you are not locked into a fixed-term contract.

4.2 Cancellation Notice. Either party may terminate services with 30 days written notice. Cancellation requests must be submitted in writing to [email protected].

4.3 Effect of Cancellation. Upon cancellation, you will retain access to all content created during the engagement. We will provide a transition document outlining current strategies, pending work, and recommendations for continuity.

4.4 Refund Policy. Due to the nature of digital marketing services, refunds are generally not available for services already rendered. If you cancel mid-billing cycle, services will continue through the end of the current paid period.

5. Client Responsibilities

To ensure successful service delivery, you agree to:

  • Provide timely access to website credentials, Google accounts, and other necessary platforms as outlined in the onboarding checklist
  • Review and approve content within the specified review window (typically 5 business days)
  • Provide accurate business information including services, brands, and staff details
  • Respond to communications from your account manager within a reasonable timeframe
  • Not engage in practices that violate search engine guidelines or could negatively impact your online presence
  • Maintain active hosting and domain registration for your website

Delays in providing required access or information may impact project timelines and deliverables.

6. Intellectual Property

6.1 Content Ownership. All content created specifically for your dealership (blog articles, press releases, FAQ pages, etc.) becomes your property upon full payment for the billing period in which it was created.

6.2 Proprietary Methods. Our proprietary strategies, processes, tools, frameworks, and methodologies (including but not limited to our Momentum system, Dealer Command Center, and Performance Index) remain the exclusive intellectual property of Momentum Motors Marketing.

6.3 Portfolio Rights. We reserve the right to reference our work with your dealership in our portfolio, case studies, and marketing materials, using anonymized data unless explicit written permission is granted for named references.

7. Performance & Guarantees

7.1 No Ranking Guarantees. Search engine rankings and AI citations are influenced by numerous factors outside our control, including algorithm changes, competitor activity, and market conditions. We do not guarantee specific rankings, traffic numbers, or AI citation counts.

7.2 Best Efforts. We commit to executing proven strategies with professional diligence, providing transparent reporting, and continuously optimizing based on performance data.

7.3 Reporting. You will receive regular performance reports as outlined in your package tier. These reports provide measurable metrics to track progress and inform strategy adjustments.

8. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This includes but is not limited to business strategies, financial information, customer data, login credentials, and marketing performance data. This obligation survives termination of services.

9. Limitation of Liability

To the maximum extent permitted by law, Momentum Motors Marketing shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from or related to our services.

Our total liability for any claim arising from these Terms or our services shall not exceed the total amount paid by you to us in the three (3) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Momentum Motors Marketing, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your breach of these Terms, your use of our services, or any content or information you provide to us.

11. Dispute Resolution

Any disputes arising from these Terms or our services shall first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached within 30 days, either party may pursue mediation or binding arbitration in accordance with the rules of the American Arbitration Association.

12. Modifications to Terms

We reserve the right to update these Terms at any time. Material changes will be communicated to active clients via email at least 30 days before taking effect. Continued use of our services after the effective date constitutes acceptance of the updated Terms.
